Nature of Investment Management Services

Buckhead Capital Management, LLC provides professional investment management and financial advisory services. Due to the nature of financial services and investment management, our service model differs from traditional product-based transactions. This policy outlines the terms regarding service agreements, account closures, and fee structures.

Service Agreement Terms

Client Agreement Duration

Investment management agreements with Buckhead Capital Management are typically structured on an ongoing basis, with either party having the right to terminate the agreement upon written notice. Specific termination notice periods are outlined in individual client agreements.

Initial Consultation Period

New clients are provided with a comprehensive understanding of our services, investment philosophy, and fee structure during the initial consultation process. We encourage prospective clients to thoroughly review all documentation and ask questions before entering into an investment management agreement.

Account Termination and Closure

Client-Initiated Termination

  • Clients may terminate their investment management agreement at any time by providing written notice as specified in their client agreement
  • Upon termination, clients will be responsible for management fees accrued up to the termination date
  • Clients maintain full ownership of their assets and may transfer accounts to another custodian or advisor of their choosing
  • No termination fees or penalties are assessed for closing accounts under standard circumstances

Firm-Initiated Termination

Buckhead Capital Management reserves the right to terminate client relationships under certain circumstances, including but not limited to:

  • Accounts falling below minimum account size requirements
  • Non-payment of advisory fees
  • Client requests that conflict with our fiduciary responsibilities or compliance obligations
  • Material changes in client circumstances that make continuation of the relationship impractical

Fee Refund Policy

Advisory Fee Structure

Management fees are typically calculated and billed quarterly in advance or arrears, as specified in individual client agreements. The fee schedule is based on assets under management and is detailed in each client's investment management agreement.

Prorated Refunds

For Fees Billed in Advance: If a client terminates the agreement during a billing period for which fees have been paid in advance, Buckhead Capital Management will refund the prorated portion of prepaid fees for the unused period.

For Fees Billed in Arrears: Clients will be responsible for management fees accrued through the date of termination, calculated on a prorated daily basis.

Refund Processing

Applicable refunds will be processed within 30 business days of account termination. Refunds may be credited directly to the client's custodial account or issued via check, as appropriate and in accordance with client instructions.

Third-Party Fees and Charges

Buckhead Capital Management is not responsible for fees charged by third-party service providers, including but not limited to:

  • Custodial fees charged by account custodians
  • Transaction fees, wire transfer fees, and other account maintenance charges
  • Internal expenses of mutual funds, ETFs, or other investment vehicles
  • Account transfer or closure fees imposed by custodians

Clients should consult with their custodian regarding any applicable fees related to account transfers, closures, or other custodial services.

Investment Performance and Market Risk

Important Disclosure: Investment management services do not guarantee specific investment results. All investments carry inherent risks, including the potential loss of principal. Past performance is not indicative of future results. Buckhead Capital Management does not provide refunds or compensation for investment losses resulting from market volatility or investment risk, as these are inherent characteristics of investing in financial markets.

If clients have concerns or disputes regarding fees, services, or account termination, we encourage direct communication with our firm. We are committed to addressing client concerns promptly and professionally.
